Definitions

  1. “Our”, “we”, “us” and “hostmasters.uk” refers to Domain Registrar Services Ltd, operating as Hostmasters.uk.
  2. “You”, “your”, “subscriber” refers to any individual, incorporated company or business who has applied to become a subscriber of Hostmasters.uk.
  3. “Privacy Policy” means our Privacy Policy, as updated from time to time, which can be found on our website – https://hostmasters.uk/privacy-policy
  4. “Community” shall mean the software tools we use to facilitate discussion between subscribers.

How we use your personal information

Our Privacy Policy sets out how we use your personal information when browsing our website, or applying to our Community.

The Agreement between us

  1. The agreement is formed between Domain Registrar Services Ltd, trading as Hostmasters.uk and the subscribers who apply to join the Hostmasters.uk Community.
  2. These Terms, as well as any associated document referred to, constitutes the entire agreement between you and us (“The Agreement”).
  3. You acknowledge that these Terms will be considered definitive and that you have not relied on any statement, promise, or representation by or on behalf of us which is not set out in these Terms.
  4. You may not assign or transfer the contract/agreement without Domain Registrar Services Ltd’s prior written consent.
  5. We reserve the right to assign the benefit of The Agreement to another party. Should this occur you will be given prior written notice of any assignment.

Our rights to vary these terms

  1. We reserve the right to vary, amend, add to, or subtract from our Terms & Conditions at any time and without the explicit consent of the Subscriber. Continued use of the Community constitutes acceptance of these terms.

Interpretation

  1. Headings used in The Agreement are added for stylistic and convenience only and are not intended to form part of The Agreement, nor alter the interpretation of any terms.
  2. The Agreement shall be governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.
  3. The Parties under The Agreement agree that no other person or entity shall have any rights under The Agreement to enforce any of these terms by virtue of the Contracts (Rights of Third Parties) Act 1999.
  4. Any gendered pronouns refer to all people regardless of personal gender identity and the singular includes the plural and vice versa, as the context shall admit or require.
  5. Each provision of The Agreement is to be interpreted as a separate limitation. Should any of the terms of The Agreement be found to be invalid or unenforceable for any reason the offending term shall be deemed to be deleted from The Agreement; all surviving terms will continue to apply.

Confidentiality

  1. You acknowledge that the Hostmasters.UK Community is a closed forum, with access strictly restricted to Nominet members only, and all information contained within it is confidential and should not be shared including:
    1. Topics discussed
    2. Comments and posts, both those posted by administrators and other Community subscribers
    3. Who is or is not a registered subscriber of the Community
  2. Confidentiality clauses shall survive termination of The Agreement.

Subscriber Obligations

  1. You agree to to abide by these Terms when using the Community, failure to abide by these terms may result in removal and/or a ban from joining the Community in future at our sole discretion.
  2. Subscribers consent to the use, and publication to other subscribers, of their name and email as part of the Community, and to storage and use by the Community administrator(s).
  3. You consent to receiving email other members send to the Community and acknowledge that we will not be responsible, nor review messages sent to the list by other subscribers before they are delivered.
  4. You acknowledge that the Community is NOT for commercial activities, solicitation or advertising is strictly prohibited and may result in being banned from participating on the Community.
  5. You agree not to use the Community to defame, slander, insult or otherwise cause harm of any kind to other subscribers or 3rd parties.
  6. You acknowledge that for successful communication between registrars of various types this Community must maintain a friendly, collaborative level of discourse with the shared goal of discussing, understanding and collaborating on feedback for Nominet policy.

Our Liability & Indemnity

  1. Nothing in The Agreement shall limit or exclude our liability for:
    1. Death or personal injury caused by our negligence
    2. Fraud or fraudulent misrepresentation
    3. Any other area where it would be invalid or unlawful to seek exclusion of liability.
  2. Subject to clause 1 we will under no circumstances be liable for:
    1. Any loss of profits, sales, business, revenue, anticipated savings, goodwill, or business opportunity
    2. Any indirect or consequential loss
    3. Loss or corruption of data, information, or software
  3. Subject to clause 10.1 and 10.2, our total liability to you in connection with The Agreement shall in no circumstances exceed the price paid for the Services
  4. You will indemnify, and will keep indemnified, us and our partners, suppliers, employees, contractors, directors, and affiliates against all claims, costs, proceedings, demands, losses (including any direct, indirect, or consequential losses), loss of profit, loss of reputation and all interest, penalties and legal, damages, expenses (including legal), or liability whatsoever arising out of or in connection with:
    1. Any breach by you of The Agreement;
    2. Your fault, negligence or breach of statutory duty; or
    3. Any claim made against us for actual or alleged infringement of a third party’s Intellectual Property Rights arising out of or in connection with the use of software and or other material provided by you.

Termination / Unsubscribe

  1. Either party (non-default) shall be able to terminate the agreement in the event that the other:
    1. Commits material breach of The Agreement, associated terms or policies and which (in the case of a breach capable of being remedied) has not been remedied within fourteen (14) days of written request to remedy the same.
    2. Is subject to a winding-up order or resolution, liquidator appointed, receiver appointed, or is subject of an administration order, or if notice of intent to appoint an administrator is filed, is otherwise unable to pay debts, is subject of a bankruptcy petition or order, or any equivalent process in any jurisdiction.
    3. Is no longer a Nominet Registrar, no longer operates a tag and/or no longer provides domain registration services.
  2. Without prejudice to any rights under contract or any other rights or remedies, either party may terminate the agreement by giving 30 days written notice.
  3. We shall not be obligated to refund any prorated payments which have been paid, should this agreement be terminated during the service term.
  4. We do not tolerate abuse of our staff. An account may be terminated with immediate effect should a Subscriber direct abusive behaviour towards our team.
  5. Upon termination by either party all fees due under The Agreement shall become due immediately.
  6. Failure to pay any fees due under The Agreement will be considered a material breach of The Agreement and we may terminate The Agreement immediately without prior notification.
  7. Upon termination of The Agreement we will remove all access to our systems and Services.
  8. If you wish to terminate The Agreement you must notify us of your intention to terminate by contacting dan {at} hostmasters.uk.
